1. About these terms
These terms govern your use of thehelm.ai and its tools, including the simulator where it is available (together, the “site”), run by Helm Intelligence Inc. (“Helm,” “we” or “us”). By using the site you agree to them. If you use the site for a company, you confirm you can accept these terms on its behalf. The site is for business use. Our Privacy Policy explains how we handle personal data.
2. Information only
The site gives general information about Helm. The simulator gives directional estimates based on public tariff data and the assumptions it states. Estimates are not a tariff classification ruling, customs, legal, tax or financial advice, or a quote, and duty rates and trade rules change. Confirm any tariff classification with a licensed customs broker before you rely on it. You are responsible for the decisions you make.
3. What you enter
Only enter information you are entitled to share. You give us permission to use what you enter to provide the result you ask for and to operate and improve the site, as described in the Privacy Policy.
4. Acceptable use
You agree not to scrape, crawl or query the site by automated means or in bulk; get around rate limits or other protections; copy, reverse engineer or resell the site or its outputs as a service; interfere with the site's operation or security; or use the site unlawfully or to mislead anyone. We may restrict or end access that breaks these terms.
5. Intellectual property
The site's content, software and design, and the Helm name and logo, belong to Helm or its licensors. We give you a limited, revocable, non-exclusive right to view and use the site to evaluate Helm for your business. Figures shown in product illustrations are examples, not results for any business.
6. Other services
The site links to or uses third-party services, such as our scheduling provider. Those services have their own terms and we are not responsible for them.
7. Disclaimers
The site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. We don't promise the site will be uninterrupted or error-free.
8. Limitation of liability
To the fullest extent permitted by law, Helm will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the site, and our total liability for any claim relating to the site is limited to US$100. Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
9. Indemnity
You will indemnify Helm against claims and losses arising from your breach of these terms or your misuse of the site.
10. Changes
We may change or suspend the site, and update these terms, at any time. We will change the date at the top when we update them. Using the site after a change means you accept the updated terms.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and the state and federal courts in Delaware have exclusive jurisdiction over any dispute about them. This does not remove any rights you have under mandatory laws where you are based.
12. General
If any part of these terms is found unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. These terms and the Privacy Policy are the whole agreement between you and Helm about the site.
